SignalAlpha AI LLC provides AI-powered marketing intelligence and media buying consulting services. Our Services include campaign optimization, performance analytics, strategic consulting, and related professional services as agreed upon in individual service agreements or statements of work.

3. Account Registration and Access

3.1 Account Creation

To access certain Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.

4. Acceptable Use

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws

5. Intellectual Property Rights

The Services, including all content, features, functionality, software, code, and technology, are owned by SignalAlpha AI LLC and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services solely for your internal business purposes.

5.2 Your Content

You retain ownership of any data, content, or materials you provide to us ("Your Content"). By providing Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and process Your Content solely to provide the Services to you.

5.3 Feedback

Any feedback, suggestions, or ideas you provide about our Services become our property, and we may use them without restriction or compensation to you.

6. Payment Terms

6.1 Fees

You agree to pay all fees specified in your service agreement or statement of work. All fees are non-refundable unless otherwise stated in writing.

6.2 Payment Method

You must provide valid payment information. You authorize us to charge your payment method for all fees incurred under your account.

6.3 Late Payment

Late payments may result in suspension or termination of Services. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

6.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your use of the Services.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. Confidential information may not be disclosed to third parties without prior written consent, except as required by law.

8. Warranties and Disclaimers

8.1 Service Warranty

We will provide the Services in a professional manner consistent with industry standards. However, we do not guarantee specific results or outcomes from your use of the Services.

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNAL ALPHA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless SignalAlpha AI LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) Your Content.

11. Term and Termination

11.1 Term

These Terms commence when you first access the Services and continue until terminated by either party.

11.2 Termination by You

You may terminate your use of the Services at any time by providing written notice and ceasing all use of the Services.

11.3 Termination by Us

We may suspend or terminate your access to the Services at any time for any reason, including breach of these Terms.

11.4 Effect of Termination

Upon termination, your right to use the Services will immediately cease. We may delete Your Content and account data. Provisions that by their nature should survive termination will survive, including payment obligations, intellectual property rights, disclaimers, and limitations of liability.

12. Dispute Resolution

12.1 Informal Resolution

In the event of any dispute, the parties agree to first attempt to resolve the matter informally by contacting us at adam@signalalpha.ai

12.2 Binding Arbitration

If informal resolution fails, any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Wyoming and shall be conducted in English.

12.3 Class Action Waiver

You agree to bring claims only in your individual capacity and not as part of any class or representative action. Class arbitrations, class actions, and representative actions are not permitted.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any legal action must be brought in the courts located in Wyoming.

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and SignalAlpha AI LLC regarding the Services and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

14.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, war, terrorism, natural disasters, or government actions.
